
Terms and Conditions
1. DEFINITIONS
"Account" means the record of all Charges due from the Customer.
"Charges" means the service charges, call charges and any other charges payable by a Customer in respect of the services provided by Telecoms Direct Ltd.
"Customer" means the Party named on the purchase order under Customer Name.
"Order" means the Customer's order for the Services and placed by the Customer to which these terms and conditions apply.
Telecoms Direct Ltd means Telecoms Direct Ltd of 899 Soi 51 Moo 5, Rangsit Nakhon Nayok Road, Prachathipat, Thanyaburi, Pathum Thani, Thailand 12130.
"Price List" means Telecoms Direct Ltd current Published list of Charges.
"Services" means those telephone Numbers, communications and other services as made available to Customers by Telecoms Direct Ltd.
"Telecommunications Networks" means the public telecommunication Network by which the services are made available.
"Telephone Number" means the telephone number allocated in the provisions of the Services to a Customer, which enables access to the Services.
2. AGREEMENT
2.1 The parties to this Agreement are Telecoms Direct Ltd and the Customer.
2.2 Each of the Services may be treated by Telecoms Direct Ltd as a separate contract and these conditions will continue to apply to any remaining or new Service despite the non-availability, suspension or termination of any of the individual Services unless Telecoms Direct Ltd advises the Customer otherwise in writing.
2.3 Telecoms Direct Ltd reserves the right to impose a monthly financial limit for any Charges, and may require a pre-payment.
3. TERMINATIONS
3.1 If the Customer wishes to terminate the provision of one or more of the services supplied, 1 month's written notice must be given to Telecoms Direct Ltd.
3.2 Telecoms Direct Ltd may terminate any of the services by giving at least 30 days prior written notice to the Customer.
3.3 Telecoms Direct May Suspend and reconnect any NGN not used for a period of 6 months or more without prior notice.
4. PROVISION OF SERVICES
4.1 Telecoms Direct Ltd will make every reasonable effort to make the services available at all times. However, the quality and availability of the services may be affected by factors outside our control and Telecoms Direct Ltd shall have no liability in respect of losses, costs or inconvenience related to any of such factors.
The Services may also be affected by faults in the Telecommunications network. (Telecoms Direct Ltd shall have no liability to the Customer to the extent that the services are unavailable or impaired as a result of any such factors).
4.2 The Customer shall not use the services: for any improper material or fraudulent use or the transmission of any material which is or is intended to be a hoax call to emergency services or is of a defamatory, offensive, abusive, obscene or menacing character in any manners that will or may constitute a criminal act or a violation of the rights of any person, firm or company.
4.3 All IVR and Bespoke service packages have a minimum contract term of 12 months from the first day of active service.
5. COSTS
Charges are shown on the price List.
5.1 Payment is due on the date stated on the Customer invoice.
If payment is not made on the due date Telecoms Direct Ltd may suspend or cancel the Service and charge interest on all sums outstanding.
5.2 If a Customer wishes to dispute any charges shown on a bill such dispute must be notified in writing within 14 days of the date of the bill failing which the Customer shall be deemed to have accepted the bill.
5.3 All changes made to line diversion will be charged at £4.95 per change of diversion, Telecoms Direct Ltd may charge an administration fee of £99.95 if a customer wishes to port a number supplied by Telecoms Direct Ltd away from the Telecoms Direct Ltd network to another network provider.
6. SERVICE SUSPENSION
6.1 Telecoms Direct Ltd may suspend services in whole or in part, or disconnect the telephone numbers at any time without notice, (without being liable to Customer to compensate anyway) if: the telecommunications Network or any part of it, breaks down, or requires modification or maintenance, or if any third party providing the services to Telecoms Direct Ltd for any reason fails or is unable to or is unwilling to continue (for any reason) to provide the services, or the Customer in breach of the terms of this agreement, of any other agreement with Telecoms Direct Ltd.
6.2 The Customer remains liable for all charges during the period of suspension.
6.3 Telecoms Direct Ltd reserve the right to make a charge for any reconnection and will charge £4.95 for any changes made to line diversion.
6.4 If the Customer is in breach of the terms of this agreement or any other agreement with Telecoms Direct Ltd the Customer agrees that Telecoms Direct Ltd may suspend any service provided under the terms of this agreement and disconnect any telephone numbers supplied without notice and without being liable to compensate the Customer in anyway.
7. GENERAL
7.1 Telecoms Direct Ltd cannot be held responsible for any false or misleading information given by dealer, agent or other representative or intermediary.
7.2 Telecoms Direct Ltd may vary the terms and conditions of this agreement if Telecoms Direct Ltd considers that changes to legislation, statutory rights or other governmental regulations or licenses make it desirable.
7.3 Telecoms Direct Ltd may port any telephone number and or services to another or any other telecommunications system operator if and when it sees fit, the Customer hereby agrees that they shall have no objection in this regard whatsoever.
7.4 All usage charges will be calculated by data supplied by Telecoms Direct Ltd and not by any data supplied by the Customer.
